Terms of Service

1. Acceptance of Terms

By accessing or using coldsea, you confirm that you are at least 16 years old, have the legal capacity to enter into a binding agreement, and accept these Terms and our Privacy Policy. If you are using coldsea on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Your Account

Registration

You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@coldsea.net if you suspect unauthorised access.

One account per person

Each person may maintain one personal account. Creating duplicate accounts to evade suspension or bans is prohibited. Company accounts are separate and may be managed by authorised company representatives.

Handle and identity

Your handle (username) must not impersonate another person or organisation and must not be misleading. We reserve the right to reclaim handles that are unused, misleading, or in violation of these Terms.

3. Content and Conduct

Your content

You retain ownership of all content you post to coldsea (“User Content”). By posting content, you grant coldsea a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute your content solely for the purpose of operating and providing the platform. This licence ends when you delete the content or close your account, subject to reasonable technical delays.

Content standards

You are solely responsible for your User Content. You agree that your content will not:

• Be unlawful, defamatory, fraudulent, threatening, or harassing.
• Infringe the intellectual property, privacy, or other rights of any third party.
• Contain spam, unsolicited advertising, or coordinated inauthentic behaviour.
• Include pornographic, graphic violent, or sexually explicit material.
• Promote or facilitate discrimination based on race, ethnicity, gender, sexual orientation, religion, disability, or national origin.
• Contain malware, phishing links, or other malicious code.
• Impersonate any person, organisation, or entity.
• Violate any applicable law or regulation.

Professional context

coldsea is a professional networking platform. We expect content to be relevant to professional interests, work, and career. While we do not algorithmically curate your feed, we may remove content that is clearly off-purpose for the platform.

4. Prohibited Uses

You may not use coldsea to:

• Scrape, crawl, or extract data from the platform without our prior written consent.
• Reverse-engineer, decompile, or attempt to extract the source code of the platform.
• Use automated means (bots, scripts) to create accounts, post content, or interact with the platform.
• Circumvent, disable, or interfere with security features or access controls.
• Attempt to gain unauthorised access to other accounts or systems.
• Overload or disrupt the platform’s infrastructure.
• Use the platform for any illegal purpose under applicable law.

5. Company Profiles

Individuals may create and manage company profiles on behalf of an organisation they are authorised to represent. By creating a company profile, you represent that you have the right to act on that organisation’s behalf. coldsea is not responsible for the accuracy of company profiles or claims made by company representatives.

6. Enforcement and Account Termination

Our rights

We reserve the right to remove any content, suspend, or permanently terminate any account that violates these Terms or that we determine, in our sole discretion, is harmful to users or the platform. Where practical, we will notify you of enforcement actions and the reason for them.

Your right to close your account

You may delete your account at any time from your account settings. Upon deletion, your profile, posts, and personal data will be permanently removed within 30 days, subject to our data retention obligations described in the Privacy Policy.

Appeals

If you believe your content was removed or your account was suspended in error, you may appeal by contacting us at support@coldsea.net.

7. Intellectual Property

The coldsea name, logo, design, and all proprietary technology are owned by coldsea and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or other brand elements without our prior written consent.

If you believe content on coldsea infringes your copyright, please send a takedown notice to legal@coldsea.net with sufficient detail to identify the infringing content and your ownership of the original work.

8. Third-Party Links and Content

coldsea may contain links to third-party websites or services. We do not control and are not responsible for the content, privacy practices, or availability of third-party sites. Visiting third-party links is at your own risk.

9. Disclaimers

coldsea is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or secure.

We are in early access and the platform is under active development. Features may change, be removed, or be temporarily unavailable.

10. Limitation of Liability

To the fullest extent permitted by applicable law, coldsea and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the platform, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of these Terms or your use of coldsea shall not exceed the greater of (a) the amount you have paid us in the 12 months preceding the claim, or (b) $100 USD.

11. Indemnification

You agree to indemnify and hold harmless coldsea and its team from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12. Changes to These Terms

We may revise these Terms from time to time. We will notify registered users of material changes by email or in-app notice at least 14 days before the changes take effect. Continued use of coldsea after the effective date constitutes acceptance of the revised Terms. If you do not accept the changes, you may close your account before the effective date.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which coldsea operates, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the platform shall first be addressed by contacting us at legal@coldsea.net so we can attempt to resolve it informally.

14. Miscellaneous

If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force. Our failure to enforce any provision does not constitute a waiver of that right. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and coldsea.
